一、基础条件

二、定价模式及报价

以上海航运交易所每日公布的CD18指数即印尼萨马林达—中国广州运价指数为基础,按照印尼装港和雷州港的港口条件进行调整。

(一)参数如下:

1、基准指数——上海航运交易所公布的CD18指数即印尼萨马林达—中国广州运价指数;

2、运价基数——受载期第一天向前第7-9天,所对应的3天CD18指数平均值,如遇节假日则往前顺延;

3、航线距离——印尼萨马林达距中国广州1696海里(指数航线);印尼萨马林达距雷州电厂1739海里(东加至电厂);印尼南加(BUNATI)距离中国广州1899海里;印尼南加(BUNATI)距离雷州电厂1874海里(南加至电厂);

东加到电厂比指数航距上远2.54%、南加到电厂比指数航距上远10.5%。

4、雷州电厂有13.5米吃水限制及载重吨7万吨级的限制。按3.5%作为亏舱系数,若后续卸港吃水条件提升至13.9米及以上,则亏舱系数取消。

(二)运费公式:

基于运价基数,东加装港上浮系数2.54%、南加装港上浮系数10.5%,南苏门答腊与东加装港上浮一致。

运费公式:运费=运价基数*(1+上浮系数)*(1+亏舱系数)

列举下图为12月第2周的CD18运价指数,平均值为10.935。如果是东加到雷州电厂,运费为10.935*1.0254*1.035=11.61;如果是南加到雷州电厂,运费为10.935*1.105*1.035=12.51。

(三)其他:

1、替代船运费不变;

2、滞期费参照BALTIC PANAMAX ASIA---P5_82指数;

3、运费在卸完货后15个工作日内支付;

4、承运人需是在中国大陆境内注册的国有全资或者国有控股企业;

5、中标承运人需要配合货主及电厂做好靠泊及清关事宜,需由中标单位实际承运,不可将该标转让给中标单位以外的承运人;

6、当出现相同报价时,有雷州电厂外贸运输经历的船东优先;

7、本标最终解释权属于广东大唐国际雷州发电有限责任公司。

(四)报价方式

此次报价以定价模式为基础,只需报价优惠幅度,如报价0.5美金,则视为在上述定价模式算出当期运价基础上减0.5美金,以此类推,不接受加价。

二、装卸港相关条款

原则上由广东大唐国际雷州发电有限责任公司、明德国际控股集团有限公司、长协运力船东签订三方协议,运费、滞期费由明德国际先代付给长协运力船东,最终雷州公司在煤款结算时一并结算支付给明德国际,约定各方权利和义务,条款以中文为准,适用中国法 。

装卸条款格式如下:

1.装港条款:

1.1 Vessel Nomination 指定船舶

a) Buyer shall nominate a Vessel to Seller not later than 7 (seven) days prior to the first day of the LAYCAN and give notice to Seller in respect of the nominated Vessel which Buyer intends to use to take delivery of the shipment. Seller will reply within 1 (one) working day intimating acceptance of the nominated Vessel. The acceptance shall not be unduly withheld.

买方应在LAYCAN开始前7天向卖方指定船舶,并就打算用于装货的船舶向卖方发出通知。卖方应在1个工作日内回复是否接受指定船舶,不应无故拖延。

b) Buyer acknowledges and accepts that the information provided by Buyer will be screened by third party agencies and/or services, and consents to its data being used in that capacity. Seller currently uses the PurpleTrac service, but reserves the right to use any other providers at its discretion. In the event a vessel is accepted but Seller subsequently discovers that it is owned, managed or operated by a designated person or entity subject to sanctions under any applicable laws, Seller reserves the right to reject the vessel and Buyer shall promptly arrange for a substitute vessel.

c) 买方承认并接受其提供给卖方的信息将由第三方代理和/或服务机构进行审查,并同意数据被用于此用途。卖方目前使用PurpleTrac服务,但有权使用任何其他供应商。如果卖方接受指定船舶后,发现指定船舶受任何适用法律制裁的指定人员或实体拥有、管理或经营,则卖方有权拒绝指定船舶,买方应立即安排更换船舶。

d) The Buyer shall ensure that by no later than 24:00 hours local time on the last day of the Laycan, the Vessel nominated by the Buyer shall arrive at the Loading Port. The Seller will be entitled to claim any barge detention it incurs for vessels arriving out of the Laycan until loading commences at a maximum of USD 2,000 per barge per day. Actual barge detention amount will be based on actuals from barge owners. Seller will share corresponding documentation to support this.

买方应确保在laycan最后一天不晚于当地时间24:00,指定船舶应抵达装货港。若指定船舶不在laycan内抵达装港,卖方将有权对任何驳船滞留提出索赔,每艘驳船索赔费用最多2000美元/天,索赔时间持续至开始装货。实际驳船滞留金额将以驳船所有者的实际金额为准。卖方应提供相应的文件来索赔驳船滞留金额。

e) Buyer may substitute the vessel for two times only at least 5 (five) days prior to eta of the vessel at the loading port. The substitute vessel’s eta shall not be earlier than the originally nominated vessel’s eta and shall always be within the agreed laycan and cargo tonnage shall be similar to the originally nominated vessel and always within the contractual tolerance. If the substituted vessel’s eta is earlier than the originally nominated vessel’s eta, the seller shall make its best efforts to comply but reserve the right to reject such substitution;

买方可在船舶预计抵达装港前5天替换2次船舶。替代船舶的预计抵港时间不应早于最初指定船舶,并应始终在约定的受载期内,货物吨位应与最初指定船舶相似,并始终在合同允许范围内。 如果替代船舶的预计抵港时间早于最初指定船舶,卖方应尽最大努力接受,但保留拒绝此类替代的权利。

f) Demurrage/dispatch rate shall be informed by Buyer to Seller according to the relevant charter party upon Vessel’s nomination which shall be in line with the market level.

滞期费率/速遣费率BALTIC PANAMAX ASIA---P5_82指数,滞期速遣费率应符合市场水平,若因指数失真导致滞期费率/速遣费率严重偏离市场水平,则三方应协商进行调整。

h) Vessels shall be consigned to a Loading Port agent appointed by Buyer and recommended by Seller during Vessel acceptance.

船舶应委托给买方指定并由卖方推荐的装港代理。

1.2 Vessel Requirements 船舶要求

Buyer must ensure that at the time of nomination, when tendering the NOR and at all times while at the Loading Port, Buyer’s nominated vessel shall, as follows:

a. The name and IMO number including the age (which shall not be equal to or greater than 25 years), flag, class, deadweight tonnage, beam, length overall and draft on arrival at the load port.

船名、国际海事组织号码、船龄(船龄不超过25年)、船旗、船级,载重吨、船宽、总长和抵达装港吃水。

b. A declaration that the vessel:

船舶声明:

(i) Is in a seaworthy condition;

处于适航状态;

(ii) Has been clear of detentions for 24 months;

在24个月内没有被扣留过;

(iii) Does not have an adverse history (including, but not limited to, serious incidents, grounding, collision, offhire, P&I cargo claims, and deficiencies reported by port state control authorities);

没有不良历史记录(包括但不限于严重事故、搁浅、碰撞、停租、保赔货物索赔以及由港口国管制当局报告的缺陷);

(iv) Is ISM Code and ISPS Code/MTSA compliant; and

遵守国际安全管理规则,国际船舶和港口设施保安规则/海事运输保全法,并且

(v) Is fully suitable for the load port.

完全适用于装货港。

c. Certificates of the following:

具有以下证书:

(i) IACS classification;

国际船级社协会;

(ii) Current P&I Club;

目前的船东保赔协会;

(iii) Hull & Machinery insurance;

船体和设备保险;

(iv) Document of Compliance and Safety Management certificate as per ISM Code.

符合ISM规则的合规文件和安全管理证书。

d. Demurrage rate and ETA of the performing vessel at the load port.

滞期费率和执行船舶预计抵达装港时间。

e. Stowage plan.

货物积载计划。

f. Distribution of cargo hatchwise and loading sequence.

货舱分布和装载顺序。

In the event that Seller finds that the particular of the Vessel is different from the above conditions, Seller has the right to reject the Vessel within 24 (twenty-four) hours upon receiving ship particulars, and the ETA shall be determined later after the substitution of the Vessel in accordance with the agreed Vessel requirement stipulated herein.

如果卖方发现船舶性能与上述条件不符,卖方有权在合同规定的船舶要求更换船舶后再确定。

The vessel shall furnish lighting if necessary for night work on board the vessel, and open or close the hatch covers at its cost.

船舶提供必要的照明设备,方便船舶夜间作业;船舶负责开关舱等操作。

Buyers warrant and guarantee at the time of nomination of the performing vessel, as follows:

买方在指定执行船舶时保证如下:

(i) that the vessel, its owners and operators are not a Designated Entity sanctioned under the United Nations (UN), U.S., United Kingdom, European Union (EU) or any other applicable sanctions laws or regulations and are not engaged in any prohibited activity

该船舶及其船东和经营人不是根据联合国、美国、英国、欧盟或者任何其他适用制裁法律或者法规应受到制裁的特定实体,且未从事任何被禁止的活动。

(ii) “Designated Entity”: means an owner or entity designated on the OFAC / HMT checklists or owned or controlled by such a person or entity.

特定实体指OFAC/HMT核对表中指定的或者由该人员或者实体控制的所有人或者实体。

(iii) that the vessel has not called at a port in Iran, Syria, North Korea, Zimbabwe or Cuba in the past 180 days and does not have on board any [cargo or] bunkers which were loaded or originate in Iran, Syria, North Korea or Cuba or are bound for a port in any of those countries;

船舶在过去180内未停靠过伊朗、叙利亚、朝鲜、津巴布韦、古巴的任何港口或者船无任何从伊朗、叙利亚、朝鲜、津巴布韦、古巴装载的货物。

(iv) that the vessel does not have any Cuban, Iranian, Syrian, North Korea or Sudanese nationals on board, whether as officers, crew or for any other reason. In the event of a breach of any of the above warranties and guarantees, the Buyer shall indemnify the Seller in full for any loss or damage, expenses of whatsoever incurred by the Seller. The Seller shall also be entitled to terminate this Contract, such termination being without prejudice to their right to claim damages from the Buyer.

In the event that the Buyer is unable to provide or procure acceptable security in respect of the Seller’s claim arising out of the Buyer’s breach of this clause, the Buyer undertakes to take steps to discharge the cargo promptly and/or indemnify the Seller in full for the costs of doing so.

船上没有任何古巴、伊朗、叙利亚、朝鲜或者苏丹的船员,不论是高级船员、船员或者其他任何人员。如果买方违反以上任何保证,买方应全额赔偿卖方发生的任何损失或损害,以及任何费用。卖方也有权终止本合同,但此种终止不影响其向买方索赔的权利。 如果买方不能就因买方违反本条款而引起的卖方索赔提供或获得可接受的担保,买方承诺采取措施及时卸货和/或全额赔偿卖方这样做的费用。

1.3 Notice Of Readiness (NOR) 准备就绪通知

a) Buyer/Vessel agent shall intimate in writing to Seller/its agents, the name of person, company, and full style of the nominated Vessel agents at the Loading Port. The NOR shall be addressed and tendered to the Seller/its agents by e-mail or fax. The NOR to be tendered after pilot off board and drop anchor in one safe anchorage area as suggested by the pilot and free pratique guaranteed ATDN SHINC, but excludes the Indonesian Major Holidays. Indonesian Major Holidays means 2 (two) days of Idul Fitri, 1 (one) of Idul Adha, 1 (one) day of Independence Day, 1 (one)day of Good Friday, 1 day of Islamic’s New Year’s Day, 1 (one) day of Christmas Day, and 1 (one) day of New Year’s Day.

买方/船舶代理应以书面形式向卖方/其代理告知在装港指定船舶代理的姓名、公司和完整的联系方式。NOR应通过电子邮件或传真递交卖方/其代理。引航员下船,船舶根据引航员建议在一个安全的锚地抛锚,并且船舶检疫合格后,在任何时间,白天,黑夜,包括星期日和节假日在内都可以递交NOR,但不包括印尼的主要假期。印尼主要假期指:开斋节2天,宰牲节1天,独立日1天,1天耶稣受难日,1天伊斯兰新年,1天圣诞节1天,新年1天。

b) NOR shall be deemed as accepted when it is tendered as per contractual terms and once the vessel and all its crew members are inspected and declared free of coronavirus (covid-19) and clear to load the cargo by port authority or relevant competent Indonesian authority.

如果NOR按照合同条款递交,船舶及所有船员接受检查并宣布无冠状病毒(新冠肺炎),并且港口当局或印度尼西亚相关主管当局已批准允许装货,则NOR应被视为已被接受。

c) If at any time the vessel is prevented from entering loading port, or berthing, because of vessel’s inefficiency, breakdown or other hindrances which constitute usual hazards to the vessel including but not limited to coronavirus (covid-19) issues, NOR shall be deemed invalid. NOR shall be retendered only when such inefficiency, breakdown or other hindrances including but not limited to coronavirus (covid-19) issues have ceased to exist. Any losses related to such invalid NOR shall be borne by the buyer.

如果在任何时候,由于船舶效率低、故障或其他对船舶构成常见危害,包括但不限于新型冠状病毒问题,船舶无法进入装货港或靠泊,NOR应被视为无效。直到此类问题不复存在时,NOR应重新提交。由此无效NOR相关的任何损失均由买方承担。

1.4 Laytime and Demurrage 装货时间和滞期

a) Laytime shall commence 12 (twelve) hours from the time when the Vessel tenders the valid NOR unless loading is commenced sooner. If the Twelve (12) hours turn time expires on Major Indonesian Holidays, the laytime shall commence from 8:00 hours on the next working day.

装货时间应从船舶NOR递交12小时后开始计算,除非提前开始装货。如果12小时的TURN TIME结束时间在印尼主要节假日,则装货时间从下一个工作日8点开始起算。

b) The cargo of Coal shall be loaded onto the nominated Vessel at the average rate per 24 (twenty-four) consecutive hours of a minimum 12,000 MT per WWD SHINC for Gearless Vessel, excluding Major Indonesian Holidays unless used, then the actual time used shall count laytime.

煤炭应装载到指定船舶上,连续24小时每个晴天工作日装率12000吨,星期日和假日包括在内,不包括印尼主要假期,除非已使用,则实际时间应计算装货时间。

Buyer shall provide the demurrage and despatch rate to Seller at the time of the Vessel nomination. If Buyer fails to do so or if Vessel’s arrival is out of the laycan, then Seller will be accepted it on CQD (Customary Quick Dispatch) basis, which means there will be no demurrage nor despatch applied.买方应在指定船舶时向卖方提供滞期费率和速遣费率。如果买方未能这样做,或如果船舶不在受载期内抵达,则卖方将基于CQD(习惯快速装运条款)条款接受该船舶,这将意味着没有滞期费或速遣费。

c) Laytime shall cease counting upon Completion of Loading. Final Draft Survey shall not count as Laytime. 12 (twelve) hours free time shall be allowed for Shipper’s obtaining export documents after final draft survey. After the 12 (twelve) hours free time, Laytime shall resume to count and cease to count upon export documents (PEB) received by shipping agent except for the delay was caused by Government/Local Authority.

装货时间应在装货完成后停止计算。最终水尺检验时间不计入装货时间。最终水尺检验后,发货人有12小时的时间可以办理出口文件。超过12小时后,装货时间恢复计算,直到船舶代理收到出口文件(PEB)后,装货时间停止计算,除非延迟由政府/地方当局造成。

d) At least 5 days prior to the vessel’s arrival at loading port, Buyer or its agent shall provide Seller with the stowage plan with the exact cargo tonnage to be loaded onto the vessel base on the SF provide by Seller, the loading sequences. Any sudden change of plan will be subject to Seller’s approval. In the event there is a change of stowage plan 3 (three) days prior to the vessel’s ETA for whatsoever reasons, Seller shall not be responsible and obliged to fulfil such new stowage plan, however Seller shall provide its best endeavour to assist.

至少在船舶抵达装货港前5天,买方或其代理应根据卖方提供的积载因素向卖方提供配载计划,包括装载准确货物吨位,装载顺序。任何突然变更配载计划,都需要得到卖方的批准。如果配载计划在船舶ETA前3天发生变化,不管任何原因,卖方没有责任和义务完成新的配载计划,但卖方应尽其最大努力提供协助。

e) Vessel once on demurrage is always on demurrage except for any other laytime excluded or discounted conditions as specified in this contract.

船舶一旦滞期,则永远滞期。本合同规定的任何其他例外或折扣的装货时间除外。

f) Bad weather, stop loading due to vessel conditions and any request from the owner/master/agents of the Vessel that affected vessel to stop loading the Coal, shall not count as Laytime, even the vessel is on demurrage.

坏天气、因船舶状况以及船东/船长/代理提出的任何要求停止装货均不计算装货时间,即使船舶已进入滞期。

g) Time for inward formalities (including clearance, free pratique, hold inspections and time for initial and intermediate and final draft survey);

办理进港手续的时间(包括通关,检疫,船舱检验,初次、中间和最终水尺检验); 。

h) Any time lost as a result of breakdown, inefficiency, ballasting equipment, lighting equipment, repairs or any other inability of the vessel to load the Coal shall not count as laytime, even the vessel is on demurrage.

由于船舶故障、效率低、压载设备、照明设备、维修或任何其他船舶原因无法装货而造成的时间损失不计入装货时间,即使船舶已进入滞期。

i) In the event of any breakdown occurring to the cranes and/or grabs, the laytime shall be counted based on the pro-rated basis of each number of cranes and/or grabs working.

如果吊机和/或抓斗发生任何故障,应按吊机和/或抓斗工作的数量,按比例计算装货时间。

j) Any time lost due to any Governmental/Port authority preventing, impeding or prohibiting loading and any time lost for Force Majeure, shall not count as Laytime; as evidenced by the report and/or letter issued by relevant authority, even the vessel is on demurrage.

任何由于政府/港口当局阻止/妨碍/禁止装货的行为以及不可抗力造成的时间损失,不应计算装货时间,即使船舶已进入滞期。

k) Time for checking temperature of cargo requested by the Master or the Chief Officer after a barge is alongside the vessel or floating crane shall not be counted as laytime even the vessel is already on demurrage.

由船方提出检查煤炭温度的时间不算做装货时间,即使船舶已进入滞期。

1.5 Demurrage and despatch 滞期费及速遣费

If total Laytime used exceeds total Laytime allowed,Seller shall pay Owner demurrage. If the total Laytime used is less than the total Laytime allowed, Owner shall pay seller despatch for the time saved at the rate equal to 50% of the demurrage rate per day or pro rata part thereof.

如果使用的装货时间超过允许的装货时间,则卖方应向船东支付滞期费。如果使用的装货时间少于允许的装货时间,船东应向卖方支付速遣费,速遣费率是滞期费率的一半。

Laytime calculations shall be presented by Buyer within 30 calendar days of the completion of loading. Demurrage / despatch shall be paid by the party so owing within 10 Business Days of agreement of Laytime calculations against presentation of the owed party’s invoice.

卖方应在装货完成后30天内提供装货时间计算表。装货时间计算表确认后10个工作日内付款方凭发票支付滞期费/速遣费。

1.6 STEVEDORE DAMAGE 装货工人损害

Stevedores to be appointed and paid by the Seller but to work under the supervision of Master. Should any damage be caused to the vessel or her fittings by the stevedores, the master has to try and let the stevedores repair the damage and will try to settle the matter directly with them at the first stage. If the damage cannot be repaired by the stevedores, the master has to obtain written acknowledgment of the damage and liability from stevedores and master or their agents to notify the Seller or their agents of such damage within 48 (forty-eight) hours of its occurrence and before the Vessel sails from the Loading Port. Seller or its agents have the right to inspect any reported damage with its own surveyor. Stevedores damage if any shall be settled directly between the Vessel owners and the stevedores and time for repair shall count as Laytime or time on demurrage. In the event of non-settlement of damage claimed by the stevedores, Buyer and Seller shall assist for such settlement. Any damage claimed or declared by Vessel master/owners after the Vessel have sailed shall not become Seller’s responsibility.

装货工人由卖方指定并支付报酬,但须在船长的监督下工作。如果装货工人对船舶或船舶配件造成任何损坏,船长必须设法并让装货工人修复损坏,并将设法在第一阶段直接与装货工人解决问题。如果损坏不能被修复,船长必须获得损坏的书面确认,卖方应要求装货工人、船长或其代理在损坏发生后48小时内,在船舶驶离装货港之前,将该损坏通知卖方或其代理。卖方或其代理有权与自己的验船师检查任何损坏的报告。装货工人的损坏,如果有,应由船东和装货工人直接解决,修理时间应算作装货时间或滞期时间。如果装货工人损坏得不到解决,买方和卖方应协助解决。船舶开航后,船长/船东提出的任何损坏索赔或声明卖方将不负责。

2、卸港条款

2.1卸船备妥通知书(NOR):船舶到达卸货港范围内后,任何时间可以递交NOR,包括节假日,无论进港/靠泊/清关/检疫与否。卸船时间自船舶递交NOR后12小时起算。

2.2卸船时间:

卸率15,000吨PWWD SHINC;

2.3任何原因引起的时间损失都算作卸货时间,但以下损失除外,无论滞期与否:

2.3.1船舶办理手续的等待时间,夜航限制等待时间。

2.3.2不可抗力而损失的时间,包括但不限于大风、大雾、大雨和台风等;如船舶已进入滞期,受不可抗力而损失的时间,包括但不限于大风、大雾、大雨和台风等损失的时间应计入卸货时间。

2.3.3 船舶从锚地(包括CJK锚地)移往泊位直至靠妥/准卸前的时间。

2.3.4 因船舶参数不符合卸货港条件,产生的额外卸货时间。

2.4 船舶滞期后的其它损失时间应作为滞期时间连续计算。

2.5滞期/速遣费:若租家在允许卸船时间内未能将货卸完,租家应向船东支付滞期费,按允许卸船时间终止后全部损失时间计算;若租家在允许卸船时间内提前将货卸完,船东应向租家支付速遣费,按允许卸船时间终止前的全部节省时间计算。

2.6由于电厂等待有关部门靠泊审批损失的时间计入卸货时间;由于港口防疫政策及船员新冠肺炎造成的时间损失由船东承担。

2.7若由于船舶故障或乙方其他原因影响甲方卸货速度的船舶,按航运惯例进行调整:在影响期间内,按故障舱数/总舱数比例扣减卸货港作业卸率;若由于船舶故障致使出现作业延迟或离港延迟,由乙方承担直接时间/费用损失(若后一靠卸船舶存在时间损失)。

2.8船东保证在抵达卸货港前 30 天内没有船员更换,卸港侧船舶靠港卸货中,不允许船员擅自离船,不支持船员更换。
